Terms of Use

The agreement for using Nemorya — including what AI-derived information and reminders can and cannot be relied upon for.

Last updated: October 2026

Acceptance of terms

These Terms of Use govern your access to and use of Nemorya, including the Nemorya web application and its API. By creating an account or using the service you agree to these terms.

If you do not agree with them, please do not use Nemorya.

Nemorya is operated personally as a sole proprietorship based in Delaware, United States. It is not an LLC or a corporation. In these terms, “Nemorya”, “we” and “us” mean that operator, reachable at support@getnemorya.com.

Eligibility

Nemorya is intended for adults who can form a binding agreement. It is not directed at children, and you should not create an account on behalf of someone else without their permission.

User accounts

You need an account to use Nemorya. You can register with an email address and password, or sign in with a Google account. You agree to provide accurate information when you register and to keep it current.

One account is intended for one person. Your vault is scoped to your account, so sharing credentials means sharing every document you have saved.

Account security

You are responsible for keeping your password and your signed-in devices secure, and for any activity that happens under your account.

You can add App Lock, a passcode in front of your vault that is enforced on the server as well as in the interface. The passcode is stored only as a hash and cannot be recovered or reset for you, so choose one you will remember. App Lock protects your vault on a shared or mislaid device; it does not replace a strong account password.

Tell us promptly if you believe someone else has gained access to your account.

The Nemorya service

Nemorya lets you capture documents, photos and screenshots; organises them into categories; derives structured details such as summaries, dates and amounts using AI; provides search and Ask Nemorya answers over your own saved information; sends browser and email reminders about dates it found or that you created; optionally connects a financial account through Plaid to discover recurring bills and services; and lets you manage a subscription, export your data and delete your account from Settings.

Nemorya is a web application, built to work well on a phone and installable to your home screen. There is no Nemorya app in the Apple App Store or Google Play today, and nothing in these terms should be read as promising one.

Features evolve. We may add, change or remove functionality as the product develops.

Content you upload

You keep ownership of everything you upload. Nemorya does not claim ownership of your documents.

You are responsible for having the right to upload what you upload, and for not uploading material that infringes someone else's rights or that is unlawful to store or process.

Permission to process your content

To provide the service, you grant Nemorya permission to store, transmit, display back to you and process the content you upload — including sending it to the AI and storage providers Nemorya uses — for the purpose of delivering the features you requested.

This permission exists so the product can work. It does not allow us to publish your documents or sell them.

Acceptable use

When using Nemorya you agree not to:

  • upload unlawful content, malware, or material you have no right to store
  • attempt to access another person's vault, conversations, reminders or documents
  • probe, scan or interfere with the security or availability of the service
  • use automated means to scrape the service or place unreasonable load on it
  • resell or redistribute the service without our written permission

AI-generated and extracted information

Nemorya uses AI to read your documents and to answer questions from your own saved information. Summaries, categories, extracted fields, dates, amounts, reference numbers, reminder suggestions and Ask Nemorya answers are all generated automatically and may occasionally be incomplete, mis-read or simply wrong.

Always verify important information against the original document before you rely on it. Where you correct a value yourself, Nemorya treats your correction as authoritative.

Nemorya is an organisation and recall tool. It does not provide legal, financial, tax, insurance or medical advice, and nothing it produces should be treated as professional advice. For decisions that matter, consult a qualified professional and read the underlying document.

Accuracy limitations

Document scans vary in quality, layouts differ wildly, and AI models are probabilistic. Nemorya may miss a date, read an amount incorrectly, or categorise something in a way you would not.

Connected financial data and recurring-payment detection carry the same caveat. Transaction information may arrive late, be incomplete, be misclassified, or be inaccurate, and a recurring payment may be missed entirely or detected with the wrong merchant, amount, frequency or timing. Verify anything that matters with your financial institution or the merchant.

The service is provided as a helpful assistant over your own material, not as a system of record. Keep the original documents.

Reminder and notification limitations

Reminders are scheduled on a best-effort basis. Delivery depends on factors outside our control, including your browser and its permission settings, your operating system, device power-saving behaviour, network connectivity, and the push or email providers involved.

For that reason we cannot guarantee that any individual reminder will be delivered, delivered on time, or seen. Do not rely on Nemorya as the only safeguard for a legal, financial or medical deadline.

Your responsibility

You decide what to save in Nemorya and how much you rely on it. You are responsible for meeting your own deadlines, for verifying information before acting on it, and for keeping your own copies of documents you cannot afford to lose.

Connected financial accounts

Nemorya optionally lets you connect a financial account through Plaid. Connecting an account is entirely your choice and the service works without it.

If you authorize a connection, Nemorya may receive account information, transaction history, transaction descriptions, merchants, amounts, dates and information about recurring transactions for the accounts you connect. Nemorya uses that information to identify recurring outgoing payments and services and to suggest items you may want to track as Bills & Services, due dates and reminders. You decide which detected items to track.

Nemorya does not move money, pay bills, initiate transfers or payments, provide investment advice, or provide personalized financial advice. It is an organisation and recall tool only.

Payment timing derived from transaction history is an estimate based on when charges have appeared in the past. It is not a statement of your provider's official due date, and Nemorya does not mark a bill as paid because a transaction exists.

You can disconnect a financial institution at any time. Disconnecting stops further discovery and removes Nemorya's stored connection, and the Bills & Services you chose to track remain as your own records.

Subscriptions and billing

Nemorya offers a Free plan and two paid subscriptions, Pro and Pro Plus. Each paid plan can be billed monthly or yearly. The plans, their limits and their current prices are shown on the pricing page, which is the source of truth; we deliberately do not restate prices here, so that these terms cannot drift out of step with what you are actually charged.

The Free plan includes a small number of documents and reminders so you can try Nemorya properly. Paid plans lift those limits and add more storage, subject to fair use: “unlimited” means no per-item cap for normal personal use, not a licence to use Nemorya as bulk storage or to run automated bulk uploads.

Payments are processed through Stripe, our payment and subscription provider. You enter your card details with Stripe; Nemorya does not handle or store them. Nemorya receives the subscription information it needs to run your plan, such as which plan you are on, its status and its renewal date.

Paid subscriptions renew automatically for the billing period you chose until you cancel. You can cancel at any time through the Stripe-hosted billing portal, reachable from Settings → Manage billing. If you cannot reach the portal, email support@getnemorya.com and we will cancel it for you.

When you cancel, Stripe shows the scheduled cancellation date. Your paid access remains active until the end of the billing period you have already paid for, and Nemorya updates your plan in the app accordingly. Cancellation stops future renewals; on its own it is not a refund request, and charges already made are not automatically refunded except where required by law or by our Refund Policy.

Upgrading from Pro to Pro Plus is done in the app, on the same billing period you are already on, and Stripe prorates the difference for the remainder of that period — you are shown the exact amount before you confirm it. Moving to a lower paid plan, or switching between monthly and yearly, is not self-service today: email support@getnemorya.com and we will arrange it. The billing portal is for your payment method, your invoices and cancellation.

If your plan ends or is reduced, the entitlements of the lower plan apply from that point, and documents or reminders you created above the new plan's limits remain readable — we do not delete your content because a plan changed.

If a renewal payment fails, Stripe retries it according to its own schedule and may email you. If it ultimately fails, the subscription lapses and the account returns to the Free plan; your documents stay where they are.

Some customers subscribed before a price change and continue on their original price for as long as that subscription remains active. Those arrangements are honoured, and a later price change does not alter them.

Intellectual property

The Nemorya name, logo, interface, design and software are owned by Nemorya and protected by applicable law. These terms do not transfer any of those rights to you.

Your documents and your content remain yours.

Third-party services

Nemorya depends on third-party providers for AI processing, file storage, email delivery and hosting, on Plaid as its financial-data connectivity provider for connected accounts, and on Stripe as its payment and subscription provider. Their availability and behaviour are outside our control, and interruptions on their side can affect Nemorya.

Links to external sites, including our social media profiles, are provided for convenience; we are not responsible for their content.

Service availability

We aim to keep Nemorya available and reliable, but we do not promise uninterrupted service. Maintenance, upgrades, provider outages and unforeseen faults can all cause downtime.

Connected financial accounts depend on your institution and on Plaid. A connection can stop syncing, require you to reauthorize it, or become temporarily unavailable, and we do not guarantee that every recurring payment will be detected or kept up to date.

Suspension and termination

You can stop using Nemorya at any time. You can export your data and delete your account yourself from Settings; deletion removes your documents, extracted information, reminders and connected-account data from the live service, as described in the Privacy Policy. If you have an active paid subscription, cancel it first so you are not charged again.

We may suspend or terminate an account that breaches these terms, that is used unlawfully, or that threatens the security or stability of the service. Where it is reasonable to do so, we will tell you why.

Disclaimers

Nemorya is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the service will be error-free, that AI output will be accurate, that reminders will always be delivered, or that connected-account data and recurring-payment detection will be complete, current or accurate.

Limitation of liability

To the fullest extent permitted by law, Nemorya will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, missed deadlines, or costs arising from reliance on AI-derived information or undelivered reminders.

Nothing in these terms limits liability that cannot be limited under applicable law.

Changes to the service and these terms

We may update these terms as Nemorya develops. When we make a material change we will update the date on this page and, where appropriate, notify you inside the product. Continuing to use Nemorya after a change means you accept the updated terms.

Governing terms

These terms, together with the Privacy Policy and the Refund Policy, form the agreement between you and Nemorya for your use of the service. If any provision is found unenforceable, the remaining provisions continue to apply.

Nemorya is operated from Delaware, United States, and the law of the State of Delaware is proposed as the governing law, together with the courts located there as the venue. This provision is subject to final legal review and may be updated on this page.

This does not take away rights you cannot be deprived of. Where the mandatory consumer law of your own place of residence gives you rights, or gives your local courts jurisdiction, those rights and that jurisdiction continue to apply regardless of the clause above.
